1. Description
Wayist is a platform powered by artificial intelligence, designed to run the work of a team through the management, analysis and enhancement of communication and collaboration. It brings every customer channel into one shared inbox, holds your records as bases, runs collaboration streams, video calls and recordings, and lets agents act on that material inside limits you set. Wayist is operated by Waygraph Pte. Ltd., a company registered in Singapore ("Waygraph", "we", "us").
2. User Terms
1. General Terms
To use Wayist, the User is subject to the following terms:
- The User must be at least 18 years of age, or the age of legal capacity in the jurisdiction in which the User resides, and must have full legal capacity to take legal action related to the use of Wayist's services.
- The User is obliged to provide accurate, complete and truthful information when registering and using the services, and agrees to update that information promptly in the event of any change. Waygraph reserves the right to refuse or terminate services for Users who provide false or misleading information.
- The User must agree to these Terms of Use, the Privacy Policy and any other applicable policies of Wayist.
- The User must not be legally prohibited from using digital services under the laws of Singapore or of the jurisdiction in which the User resides.
2. Registration Terms
During registration, several aspects apply, whether the User registers a personal account or is invited into a workspace by an organisation:
- Users may create a personal account for private use or to access particular services after registration. Users may upload, manage or delete their content and data in compliance with applicable laws and these terms.
- If invited by a "Customer" (an organisation or employer), the User becomes part of that Customer's workspace. The Customer controls the User's access as well as the data shared, stored or created within that workspace.
- When interacting with a Customer's workspace, the Customer retains ownership of all data shared within it. The Customer has full control, including managing permissions, accessing data, reviewing or editing content, configuring agents and their authority, and enabling third-party integrations.
- If the User creates a workspace and invites others, the User moves from being an Individual User or Authorised User to a Customer, and becomes subject to the Customer terms of service.
- If the User uses a Customer's workspace as an employee or contractor, the User acknowledges that such use is for professional purposes, and consumer protection laws may not apply to that use of the platform.

- Waygraph reserves the right to assign or transfer its rights and obligations under these terms to a third party, including in a merger, acquisition or sale of assets, while ensuring that User rights remain respected by the party receiving the transfer.
- Waygraph reserves the right to collect, process and use data generated by the User's use of the services in accordance with the Privacy Policy and applicable law, in order to operate, secure and improve the service. Workspace content is not used to train models offered to other customers.
- Waygraph reserves the right to set subscription fees and additional charges for particular features. Users of paid features must comply with the applicable payment terms, including the prepaid credit and top-up limits configured in the workspace.
- Waygraph reserves the right to apply a fair use policy so that the services are used equitably and without excess. If unfair usage is detected that affects the performance of the platform, Waygraph reserves the right to limit or terminate the User's access.

5. Service Usage by an Organisation
- If Wayist is used on behalf of a company or organisation, that company or organisation assumes full responsibility for all activity occurring under the associated workspace. Actions by employees, agents or other parties representing the organisation are deemed actions of that organisation.
- The organisation is required to ensure that every employee, agent or other party using Wayist on its behalf complies with these terms and the Privacy Policy.
- The organisation must comply with all applicable laws and regulations, including those relating to data protection, information security and intellectual property rights.
- Any violation, misuse or non-compliance by individuals acting on behalf of the organisation is the full responsibility of that organisation. Waygraph reserves the right to act on the organisation's workspace, including restricting access or terminating services, in the event of a violation.
6. Payment and Fees
- Certain features of Wayist require a paid plan. Paid plans are billed per user who logs in; agents do not consume seats.
- By subscribing to a paid plan, the User agrees to pay the applicable fees for the applicable term.
- Paid plans can be cancelled at any time and remain active until the end of the current billing period. Fees already paid for the current period are not refunded except where required by law.
- Agent model usage runs on prepaid credit at the model provider's published rate. Automatic top-up is subject to the monthly ceiling and the cooldown between charges configured in the workspace.
- The User must inform Waygraph of any change to their identity or payment method no later than 30 (thirty) days before the next due date. Failure to update this information may interrupt access to the service.
- If the User fails to pay according to the agreed terms, the account may be suspended temporarily or, in the case of repeated failure, permanently.
- All fees are stated in USD and exclude applicable taxes. The User is responsible for any relevant taxes or additional charges.
7. Intellectual Property Rights
- All intellectual property rights in Wayist, including software, artificial intelligence technology, logos, designs and other content, are the exclusive property of Waygraph or its licensors, protected by applicable copyright, trademark and other intellectual property laws.
- Users have no right to copy, modify, distribute, reproduce, exploit or use the protected content, software or technology without written permission from Waygraph. Any attempt to claim ownership of these elements, or to incorporate them into another brand without written approval, is a legal violation.
- Users are required to report to Waygraph any suspected or known infringement of intellectual property rights, whether by themselves or by third parties.
- Users retain all rights in the content they and their team put into Wayist: messages, records, files, recordings and anything agents produce on their instruction. Users may not copy, alter or distribute reports, products or other elements of the platform itself that are protected by Waygraph's intellectual property rights without written consent.
- If the User violates these terms, Waygraph reserves the right to suspend or terminate access to the account and services, to seek compensation for damages incurred as a result of the violation, and to take legal action in accordance with applicable law.
8. Limitation of Liability
- Waygraph is not liable for the accuracy or completeness of information, reports, drafts or analytical results generated by agents. The User assumes full responsibility for decisions made on that basis.
- Waygraph is not liable for losses resulting from service failures, delays or interruptions caused by factors beyond its control, including network disruption, server failure or errors by third parties involved in providing the service, including model providers.
- Waygraph is not liable for losses arising from misuse or unauthorised use of the services by third parties who gain access to the User's account without authorisation.
- Waygraph is not liable for losses arising from changes to, temporary suspension of, or permanent termination of services, features or the platform carried out for development or other technical reasons.
- To the extent the law allows, Waygraph's total liability for any claim is limited to the fees paid by the User in the twelve months preceding the claim.
9. Termination
- Waygraph is not liable for legal violations committed by the User in the course of using the services, including use in breach of intellectual property rights, privacy laws or any other applicable law in the User's jurisdiction.
- Use of Wayist terminates automatically if the User does not renew the service in accordance with the selected plan. The service ends at the conclusion of the term agreed.
- Waygraph reserves the right to terminate the service before the end of the User's term in the event of a breach of these terms, including failure to meet payment obligations, violation of Waygraph's intellectual property rights, or other conduct inconsistent with these terms.
- If Waygraph terminates the service for breach, the User is not entitled to a refund of fees paid, except where required by law.
- On termination, whether automatic or for breach, the User is required to maintain the confidentiality of information obtained while using the services, to cease using all services, features and materials obtained through the platform, and to accept that Waygraph may delete or deactivate data and materials associated with the account after a reasonable export period, unless retention is required by law or stated in the Privacy Policy.
- Following termination, the User remains bound by the provisions on intellectual property rights in these terms, including the prohibition on copying, modifying, distributing or using materials protected by Waygraph's intellectual property rights.
10. Governing Law
- Any dispute, claim or disagreement arising in connection with Wayist or these terms shall first be resolved through amicable negotiation between the parties within 30 (thirty) days from the date one party gives the other written notice of the dispute.
- If the dispute cannot be resolved through negotiation, the parties agree that it shall be settled by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules in force at the time. The award rendered shall be final and binding on the parties.
- These terms, and any dispute or claim relating to them, are governed by and construed in accordance with the laws of Singapore.
- The seat of the arbitration shall be Singapore, unless otherwise agreed by the parties.
- The arbitration shall be conducted in the English language, unless otherwise agreed by the parties.
- Notwithstanding the arbitration process, nothing limits either party's right to seek interim relief in court where necessary to protect intellectual property rights or confidential information.
- The costs of the arbitration shall be borne proportionally by the parties, unless otherwise determined as part of the award.
11. Severability
If any provision of these terms is declared invalid, unenforceable or void by a court or competent authority of any jurisdiction, that provision shall be deemed severable from these terms. Its invalidity or unenforceability shall not affect the validity, enforceability or continuation of the remaining provisions, which remain in full force and effect.
12. Contact
If the User has questions, complaints or requires further clarification regarding these terms or how Waygraph manages the User's personal data, the User may contact the Wayist team through the contact form available on the platform. Waygraph will make every effort to respond within a reasonable time.
